March 16 On the basis of an order of RAO UES of Russia in accordance with the resolution of the Board of Directors of RAO UES of Russia dated December 24, 2004 and an order of the Government of the Russian Federation dated September 1, 2003, the Sixth Wholesale Power Market Generating Company OJSC (WGC-6 OJSC) is founded.

March 17 WGC-6 OJSC is registered in the Inspectorate of the Federal Tax Service of Russia for Lenin District of Rostov-on-Don.

May 6-16 RAO UES of Russia contributes to the authorized capital stock of WGC-6 OJSC shares in KiSDPP OJSC, KSDPP-2 OJSC, Novocherkassk SDPP, Ryazan SDPP OJSC.

August 17 General meetings of shareholders of KiSDPP OJSC, KSDPP-2 OJSC, Novocherkassk SDPP, Ryazan SDPP OJSC take the decision to delegate the powers of the sole executive body to WGC-6 OJSC.

August 29 At the extraordinary General Shareholders Meeting of WGC-6 OJSC separated from Mosenergo OJSC on April 1, 2005, the decision is taken to delegate the powers of the sole executive body to WGC-6 OJSC

September 1 WGC-6 OJSC concluded contracts and begins to exercise the powers of the sole executive body of four companies: KiSDPP OJSC, KSDPP-2 OJSC, Novocherkassk SDPP, Ryazan SDPP OJSC.

September 2 The new membership of the Board of Directors of WGC-6 OJSC is elected. The new membership includes representatives of RAO UES of Russia Boris Wainziher, Dmitry Kaigorodov, Yuri Dolin, Ilyas Zagredtinov, Sergey Fil, Valentine Sanko, Anna Vasilyeva as well as the chairman of the Federation Council of the Federal Assembly of the Russian Federation for Federation Affairs and Regional Policy Alexander Kazakov, the President of Kiuru Partners Ltd. Seppo Remes, Deputy Director of the Department of Suek OJSC Alexander Shumilov, Chief Analyst of the Energy Directorate of YevrazHolding Ltd. Sergey Arinin.

September 19 The scientific and technical council is created, the main objective of which is to develop a single scientifically-grounded technical policy for the company’s development. The council includes chief engineers of the stations that comprise  in WGC-6 OJSC and employees of the company’s production and technical divisions. The Chairman of the Scientific and Technical Council is the Chief Engineer of WGC-6 OJSC Nikolai Tatarinov.

October 1 WGC-6 OJSC concludes the contract and begins to exercise the powers of the sole executive body of SDPP-24 OJSC.

October 7 The meeting of the Board of Directors of WGC-6 OJSC takes place, during which Boris Wainziher, a Member of the Executive Office of RAO UES of Russia, is elected the new Chairman of the Board of Directors.

October 20 Krasnoyarsk SDPP, Ryazan SDPP, Kirishi SDPP and Novocherkassk SDPP begin to participate in the balance market. Right from that day the sector of deviations of the wholesale power market begins to work on the basis of new rules approved by the Decree of the Government of the Russian Federation. Since January 1, 2006 the remaining stations of WGC-6 OJSC, SDPP-24 and Cherepovetsk SDPP, enter the balance market.

November 20 The extraordinary General Shareholders Meeting of Cherepovetsk OJSC takes the decision to delegate the powers of the sole executive body to WGC-6 OJSC.

December 16 Power generating unit No.6 with capacity of 310 MW is put into operation at the Novocherkassk SDPP. At the press conference devoted to this event the General Director of WGC-6 OJSC Valentin Sanko announces that WGC-6 OJSC plans to implement several investment projects totaling 16 bn rubles.

December 23 The Board of Directors of RAO UES of Russia, fulfilling the functions of the extraordinary Shareholders Meeting of WGC-6 OJSC, takes the decision to place additional shares through a closed subscription and to reorganize WGC-6 OJSC by consolidating SDPP-24 OJSC, KiSDPP OJSC, KSDPP-2 OJSC, Novocherkassk SDPP OJSC, Ryazan SDPP OJSC, Cherepovetsk SDPP OJSC and approves the consolidation agreement. Also at the meeting the decision was taken to pay dividends on the company’s ordinary shares for the first nine months of 2005 in the amount of 0.01398098 rubles per share in monetary term within 60 days after the decision is made. In the specified time period, payment of dividends was not effected by agreement with the shareholder.

December 24 Kirishi SDPP commissions power generating unit No. 4 after its reconstruction and repair. The total cost of repair amounts to about 110m rubles.

December 30 Power output in 2005 amounts to: KSDPP-2 – 3,604.8m kW/h, Ryazan SDPP – 6,537m kW/h, KiSDPP – 6,028m kW/h, Novocherkassk SDPP – 7,691.8m kW/h, SDPP-24 – 1,502.5m kW/h, Cherepovetsk SDPP – 2,642.2m kW/h. The aggregate output of six stations amounts to 28,006.4m kW/h which is 1.7% more than the planned amount.
